EA Now Owns Titanfall Developer Respawn

It's a done deal.

In November, Electronic Arts announced that it was buying Titanfall developer Respawn. At the time, the publisher said it expected the deal to close by the end of calendar 2017 or "soon thereafter," pending regulatory approves and other "closing conditions." It seems like that process went smoothly, as the deal has now been closed, ahead of schedule. A filing with the Securities & Exchange commission dated December 4 confirms that the deal was completed on December 1.

The terms are the same as were disclosed in November when EA announced its intention to purchase Respawn. This includes $151 million in cash and up to $164 million in equity through stock units for employees, vesting over four years. EA will pay up to another $140 million if Respawn can hit "certain performance milestones" for its upcoming games, through 2022.

Respawn, which was founded in 2010 by Call of Duty developers Vince Zampella and Jason West, has worked primarily with EA since its inception, though it remained independent until now.

In a letter on Respawn's website, CEO Vince Zampella discussed the decision to sell the company, noting that he will remain in charge and that no layoffs will take place. "While it wasn't necessary, going with EA made a lot of sense," he said. "With Titanfall and Star Wars, EA has been a great development partner that supports us and doesn't interfere with our process for making games or studio culture.

"EA will provide us with more resources, access to new technologies, and expertise that we can tap into to that will help us make better games, and Respawn will retain the same creative freedom and culture we've always had. We've been talking closely with the leadership at EA and we share their values and vision for the future of being a developer-focused company that puts the players first."

The studio is currently at work on a new Titanfall game (a fact that was confirmed today), a third-person Star Wars title, and a VR game. Specifics on all of these have not yet been announced. We don't know what to expect from the Titanfall game, though Respawn has expressed interest in continuing the series. As for Star Wars, we know it's being directed by God of War III director Stig Asmussen.

Great. Just Great. Another publisher acquired for hundreds of millions of dollars so EA can ensure a shittier version of their game hits the market stuffed full of predatory microtransactions and then re-release the same game year after year with no meaningful change, innovation, or effort put into it.

So much for Respawn. RIP.

Respawn lucked out writing up a contract with that amount of money when EA stocks were at an all-time high.

Congratulations, Respawn. You'll eventually join the ranks of Bullfrog, Origin, Westwood, and Pandemic.

"While it wasn't necessary, going with EA made a lot of sense," he said. "With Titanfall and Star Wars, EA has been a great development partner that supports us and doesn't interfere with our process for making games or studio culture."

How can you possibly work in this industry for so long and actually believe that will still be in place after selling to EA?

"We've been talking closely with the leadership at EA and we share their values and vision for the future of being a developer-focused company that puts the players first."

Now you're just completely full of shit. They're a studio serial killer but that's apparently developer-focused, and games like Need for Speed Payback, Battlefront 2 and UFC 3 all seem like they're putting players last.

Literally unless they're looking to exit the gaming industry or unless they're having major financial problems, it makes no sense what so ever to sell to EA. He even admits it wasn't necessary to sell. Having access to all those new technologies, resources and funding comes at a price. Talk to me when you don't meet sales expectations after tapping into all those extra resources and tell me you'll still have creative freedom.

I wonder if we will get another single player Titanfall campaign. Titanfall 2 was fantastic.

The competition was too great, a game no one really complained about. Anyone that played it actually loved it. It Included all the content with the single price of admission with no extra fees and provided a fleshed out campaign. A serious threat to EA and all that they stand for.

I wonder if EA released Titanfall 2 a week after Battlefield 1 to help lower the value of Respawn before buying them.

Good thing I never bothered with Titanfall. I loved Mass Effect, even Andromeda. My favorite franchise. I may never get to play another now.

Dice breathes a sigh of relief now that EA has a new developer to close down and throw under the proverbial bus.

@kevo44: Even though EA can be incredibly stupid with their business decisions, I don't think DICE as a whole have to worry about EA shutting them down. DICE's games sell extremely well. At the end of the day, they're main franchise is Battlefield and they do it well. Will EA ruin the next Battlefield in 2018 like they did with Battlefront 2? Only time will tell.

@xshinobi: They do, but they're purely cosmetic. I'm hoping BF 2018 will just have cosmetic lootboxes but seeing how BF2 had lootboxes that gave you advantages over other players, I won't be surprised if Battlefield follows suit.

Tomorrow's Headline:

EA closes Respawn

Muppet EA CFO Blake "Jargon-sen" states that Respawn's unannounced projects had no way of meeting his unspecified and unknown economic targets. Due to emerging gaming market trends, He believed that those projects needed to pivot in a way to meet that demand. For this reason the decision was made to shut Respawn, effective immediately.

EA Vancouver will be taking over development of those unannounced projects in a better way to deliver a "games as service" model that will provide the player with a sense of pride and accomplishment.

More to come...

@Sevenstorms: Well except sales number for 1 and 2 prove otherwise. I could make a list easily of things they ruined going from 1 to 2 things that drove away all the buyers for TF1.

$150millions - for a studio of 200 developers, it is just 4 years of stady work time with ~50k/year per person. EA fucked Respawn over..

Another half, IF! they get it.. will be dropped ONLY (again) IF! Next Titanfall or Starwars game from Respawn will perform with 500% of profit. You'll see.
