So in a fight, who would win.

The fight has to be a little fair, so they are fighting in a city such as New York, so Spider-Man isn't screwed. AND there are no people around anywhere, so they can both fight to the best of their ability w/out having to worry about hurting anybody.

Who wins?

Iron Man would win, but he wouldn't kill Spiderman. I'm guessing you're comparing present-day versions, so Tony will then ban Peter Parker and send him to jail.

Read Civil War for some fairly authoritative info on that; also, consider that in fights against heralds of Galactus, Spider-Man took one out after just loosing his **** and whaling on Firelord for about 20 minutes, whereas Iron Man died fighting Terrax. Here's to my encyclopedic knowledge of the Marvel universe.

Iron Man would fly higher than any buildings in NYC, shoot a missile at Spider-Man aiming right for his hands so that his web blasters are disabled. After that it's just an easy win for Iron Man. (Though it pretty much was from the beginning :P)
