how does this ram and PSU look?

Not to sure about how well this ram is but the psu looks pretty good... heres the ram http://www.newegg.com/Product/Product.asp?Item=N82E16820231098

im not to sure if the psu is compatiable with my mobo b/c my mobo says.....Power Pin.... 24 Pin
and on the psu's specs it says  Main Connector.....20 + 4Pin
i mean 20+4 does = 24 but are these the same things...see i dont no too much about psu's

Those both look fine. The PSU should work with that board.

RAM works at a couple of watts and this works at 1.8V, which is what any PSU delivers easily, so matching RAM with PSU isn't important, matching motherboard with RAM is more important.

no i know the ram is 240pin and my mobos is 240pin so the ram will fit fine, and ok i see u say the psu will work with the mobo ... thanks for the help

You've got excellent products on both counts - I've got a similar setup (lower CAS latency G.Skill RAM, and the 520w Corsair power supply), and they both work very well indeed.
