...and it has *Gears of War live acess key*. Does this mean that this is another game which I cant sell?

Hmm ... well i know Games for windows is like Xbox live for Pc
soo it might have something to do with that... it says "Live"

I guess it would lock your copy of gears with your live account, thus preventing sale pretty much.

The game wouldn't be locked to your Live account. If that was the case you wouldn't be able to use multiplay gamertags. It's the same as any product key....

If you sell it and two gamertags log on using the same key it might get banned.

I think you're fine. I don't think it's like Medal of Honor Airborne where it ties the Multiplayer to your email.

Nope

And in fact Dx10 mode add's only AA to the mix and nothing else. except AA and worse frame rates
