any difference between these two CPUs? performance wise

Both are AMD phenom II X4 but one takes 125W and the other 140W

the 125w one is the newer of the two, uses less power.

Also because it has lower power consumption, it has higher overclocking headroom.

They can overclock the same but your going to need better cooling on the 140w. The Coolermaster V8 is a good cooler for AMD cpu's. I have one on my 125w 90nm X2 6000(3ghz) and it doesnot get above 40C and idles 1-2C above room temp. And one of my buddies has a P2 940 with a V8 OC'ed to 3.8Ghz and stays under 50C

that a normal temperature for Phenom II X4 940 i think so and normal clocking max cap for this cpu but if you read lot of benchmark it show as cpu cooler such as tuniq 120 Extreme / Noctua NH-D14 to being better by lot against coolermaster V8 since they perform closely to prolimatech megahalem which anyway as being proved to being able to handle core i7 920 2.6Ghz D0 Stepping @ 4.3Ghz with HT on

in most of the test that the Core i7 920 Was Dramatically more cooled the amd was as well as the CFM was high on the cpu
