Which MB for C2D E6400?

I am planning to get a Core 2 Duo E6400 for the new computer I am building. But I arrived at a motherboard dilemma. For ~335 US dollars at this place I can get a E6400 and this motherboard (http://tinyurl.com/34nzx4).

For 215 dollars at the same place, an E6400 comes with this mobo (http://tinyurl.com/24q3at)

My question is does the additional cost (quite large if you ask me) of the first ASUS mobo make it worthwhile or should I save the money and go for the second option. Or if both are not that great, which motherboard should I get? I plan to have a 300 GB seagate HD, GeForce 7 card (either 7600 or 7900) and 2 GB of ram. Thanks in advance.

I'd switch that processor to the E6420 if at all possible. As for the motherboard, I'd try to stay away from a budget board like that ECS, and I'd also try to avoid the P965 boards at this point since the P35 boards are here. You can pick up a decent budget P35 board for around $110, or even a quality board for around $130.

Thanks for the suggestions so far. Are the P35 boards that much better than the P5B because combined with the processor, they exceeed the amount I had in mind for the cpu/mobo. I am not looking for a high-tech board, I just need something that will last me for atleast 2-3+ years.

Then P35 is the way to go, it offers better futureproofness (lol) because it can support the newer Intel CPUs when they come out and DDR3 RAM as well as DDR2.

One good thing about the P5B-E is allot of work has been put into the bios its got tons of options and you can configure it just about anyway you want, it really is a top of the line motherboard.
