this wont be immideate this si say come x-mas

OS: http://www.computeravenue.ca/product.php?txtCatID=338&txtProdID=3911

gpu: http://www.computeravenue.ca/product.php?txtCatID=355&txtProdID=3917

cpu+mobo+ram combo: http://www.cbit.ca/product.php?productid=13616&cat=1411&page=1

prices in canadian

yes im aware that 5770 is a tad overpriced but for those here locally that ensures they always have one in stock ( i have yet to see them ever not have an item they advertise out of stock)

also i realise the 5750 is a little worse but if its worth the effort just for something dx 11 friendly ill take the preformance hit and save a little extra cash while im there.

Well about uprading from xp pro to windows 7 I would hihgly recommend it. Although windows 7 is technically still behind xp in some ways in regards to its gaming performane (benchmarks and stuff) it is much better than vista ever was and since xp wont be updated to include directx 10 or 11 you would be limiting yourself in the long run by staying with xp. So sawp to windows 7

Windows 7 is not far ahead of gaming compared to Vista, nor is it considerably behind XP. Windows 7 and Vista are basically the same when it comes to gaming performance. Newwer games on Vista/7 tend to perform as well as XP, and sometimes even exceed XP. As for your original question, you cannot upgrade XP, you will have to do a clean install. You don't have to format your XP partition though losing data, just need to install it onto another partition, or another directory if you don't have another partition.

how about a 64 bit since it seems like a better choice if it can ulitize more RAM....

I don't know about Windows 7, but Vista Home Premium could utilize 16GB, while business/ultimate could utilize 128GB.
