Presuming your version of Vista is fully updated, I say don't waste your money in upgrading. 7 is great, but Vista is perfectly usable, especially after all the updates.
Also, you don't really need 64-bit unless you have more than 3 gigs of RAM. Basically 32-bit is an older archetecture, whereas 64-bit is the newer one. But most programs you'll use work with 32-bit, whereas some programs might have compatibility issues with 64-bit still.

I've never had any compatibility issues with windows 7 64-bit. I had a few problems with Vista 64, but not one problem with 7.I'm having quite a few. :(
Namely old games like Deus Ex and Fallout 1 and 2. Most programs still work.
deusex works fine for me. even played Nameless mod great. i have an i7 930, 6gb ram and ati 5770 (as playing it with a 4850). if u want to play deus ex better, then get s team and buy it, coz its only $9.99US
