If I were you I keep the 60gb and sell the 40gb.You get basically a Ps2 built into the 60gb, 4 USB ports instead of 2, chrome triming, and 20 gb more memory. Then again you can make a nice shiny penny off a brand new 60gb. Bascially what it boils down to is do you want to be able to play Ps2 games on your Ps3 and do you want the extra memory.
This is entirely your choice.
Personally I would sell the 40 gb just for the few extras that you get with it, extra USB ports, wireless etc. As for backwards compatibility, how many people actually play PS2 games on their PS3? I sold all my PS2 games as I wasn't using them, they had been sat there for months whilst I was enjoying the new PS3 games.
I wouldn't make the choice on the HDD alone as it is simple to change your PS3 HD, I now have 160Gb in mine.
