Wow ... i gotta say ... it's a toss up. I like both games equally, even though they play differently. If you have a preference for FPS or 3PS then i'd say consider that in your decision because they are both incredible games that any action shooter gamer should enjoy.
I own both games, and i am a huge graw fan, i bought it when it first came out on march 8th. Ive spent many hours on graw 2, and enjoyed every minute of it. but compared to vegas the levels seem bland, the player customization non-existant, not to mention the cover system in vegas: turning ay box into cover in an impromptu gun fight. buy vegas, this is coming from a genuine graw 1 and 2 fan.
