They're both excellent games in their own right. For single-player, I would recommend GRAW 2, and for multiplayer, Vegas 2. That being said, the single in Vegas 2 is still very entertaining, and the multi in GRAW 2 is fun as well, it's just that they excel at different things.
I ended up buying both, just because I like shooters. I hadn't played the first game of either series, so I don't know how the continuity of it all works, but I found that GRAW 2 seemed to do a better job of telling the story without making you feel like you were missing out. In Vegas 2, I really didn't care about the story, but running around with a squad planning room entries was still pretty awesome. It made up for the rest of it.
