Its black and it has a 120gig harddrive. That is the difference. The 65nm cpu is out on the halo3 system, but I heard if you have an xbox with the lot number of 735 and higher that it should have the new 65nm cpu. You can see this information on the side of the box when you purchase the 360. It should be a white sticker. This is only speculation, but I would personally wait a little longer to make sure.

I am hearing that Elites with 65nm will release next. It may have been a marketing plan to release the Halo3 with 65nm in hopes to make quick money along with the release of Halo3.Elites with 65nm are going to release later this month and I suggest if you want to buy the Elite to wait for some news about the batch number for the Elites and go and get them.

Also there is also some talk of a GPU die shrink soon but now sure if it is 100% true. If it is true then it will be excellent since some guys with Halo3 Consoles are still getting RLOD problems.
