Wrong. The 360 will upconvert DVD's. However, it can only be done with the VGA cable or via HDMI if you have the Elite or one of the newer premiums with HDMI.

It's simple really. With a physical version only one instance of the of the game can be played at any given moment. In that respect the game can be shared. With a downloadable version who's to say multiple users can't play the same copy of game at the same time? The 24 hour increment prevents that.
