It all depends on what you like. If you like x-men get legends or if you like marvel get that. In my opinion both games are very similar in gameplay styles.
They are both good, like others have said, in X-Men you have more control over how you level up your characters. Both are very similar in game play.
It might help you decide if there is a particular hero that is your fave, then go with the game that hero is in. Although Wolverine, Iron Man and Iceman are in both. I thought Wolverine and Iron Man were cooler in Marvel UA, I didn't play Iceman enough in Marvel to have an opinion. He's pretty fun in X-men though.

The character powers are also a lot more distinct, with actual web slinging for Spider-Man, stretchy punches from Mr. Fantastic, etc.
