Nintendo can do anything it wants with that code (game). they do not need any permission from the current Bond license owner for a game they own.
Rare is entitled to REMAKE their games like conker on xbox... but they cant do that with Goldeneye without the Bond License.
So why does Nintendo need to work something out with MS/Rare to get Goldeneye on VC? Does that fact that they would have to modify the code to make it work on the Wii have anything to do with it?>

Nintendo doesn't own ****. The Bond licence is being currently buggered by EA. I'm pretty sure Rare still owns the rights to it's own game.
Nintendo has Publishing rights, and also Activision has the Bond Licence they took over it last year and they are currently making there first game.
