As I said, this isn't a zero-sum game. Even if the decision also benefits Microsoft, it is better for Nintendo to make money than to not make money. Profits are more important than marketshare to a company and to its investors.
Perhaps it would be logical for Nintendo to negotiate for a better offer from Microsoft (because while they aren't losing here, they aren't getting as sweet a deal as Microsoft and Activision are), but to flat out refuse and then do nothing benefits no one, Nintendo included.

In the event Nintendo agrees to this deal, Goldeneye gets a ROM dump on the VC and gets an HD overall (along with the orginal version) on XBLM. LOTS of people played and enjoyed the hell of this game. For many, it was the start of great FPS games on consoles. Big market now for a remake right?
I'm going to make some conjecture here, (emphasis on CONJECTURE) many of these new found fans likely didn't stick it out with the Gamecube for varying reasons and moved to the next FPS phenom, Halo on Xbox or the juggernaut that was the PS2. Fewer still likely picked up the Wii given its lack of focus on graphics among other things. So, given the lackluster sales of hardcore audience games on the Wii, I think it's fair to say that there aren't too many Goldeneye vets gaming on a Wii. Most of them moved to the PS3 or 360. By virtue of these observances here, the sales potential for Goldeneye on the Wii is microscopic in comparison to the 360.
Big sales on the 360 would draw even more of these former Nintendo enthusiasts to the Xbox 360 platform and thus allow MS to further expand their market share by eating away at Nintendo's. MS reaps the bigger benefit of the deal, pure and simple. Obviously, that's a double whammy for Nintendo: give MS big sales while at the same time decreasing Nintendo's potential pool of customers for sales. The meager profits from the VC version wouldn't come close to covering the loss of customers.
Nintendo's decision at this time, makes good business sense.
