FYI the PC is the number one gaming platform out there. Not for the big buy it on DVD games but for the little 10 and 20 dollar download games. Total games sold still goes to the PC. The PC still has the largest library of games available even if the older stuff is hard to find. (but getting a little eisier with broadband and downloads) As long as there is a market for high end PC games publishers will publish them. The good news is most of the really bad games will get weeded out before they hit the PC market because developers will not want to spend the money to port a loser of a game to a small market.
The Games for windows initiatve if you do any development and look at MS tools is going to make it so its a very simple process to convert from a 360 game to a PC game(look at XNA) This may not be a good thing but it may not be bad either, it means there will be more games for windows but it also means there will be more bad games for windows.

100% of laptops have a video card. Otherwise there would be no reason to include a screen. I think what you were trying to say was. Only a very small percentage of laptops have have dedicated video memory.
If you have an OEM version of Windows you will need to get a new code for it.. OEM versions wont support a MB change.
Regarding the "footprints", you just have to make sure you remove all the relevant drivers or software for the old components, then install the new drivers for the new parts. This tells the OS how to make them work...

Depends on if its a generic OEM or a major manufacturers OEM disk generics will reactivate after 90 days on a new Mothreboard.
